Item 8.01 Other Events.
On July 18, 2023, Judge Fernando L. Aenlle-Rocha of the United States District Court, Central District of California, issued an order granting Seaguard Electronics LLC’s Petition to confirm the Arbitration Award against VOXX International Corporation (the “Company”) in the amount of $39,444,745 and denied the Company’s Petition to vacate the Arbitration Award. The Company plans to file an appeal based on, among other possible grounds, that the underlying supply contract explicitly prohibited the award of punitive damages and further, that the Company was denied due process during the course of the Arbitration Hearing. The Company expects to file an appeal with the United States Court of Appeals for the Ninth Circuit.
